Appointment of cfo as kmp and filing of forms thereto

A public limited company (having paid-up capital of Rs. 50 Crore) already have a CS and CFO in place as on April 1, 2014. The CFO was originally apppointed on January 1, 2010.

While the Form 32 for CS was filed under the old Companies Act, 1956, do we need to:

a) Pass a fresh resolution for appointment of CFO and take note of existence of CFO as KMP?

b) File Form DIR-12 for appointment of CFO. What shall be the date of appointment of CFO - April 1,2014 or January 1, 2010?
