Appointment of auditor

I want to know the procedure of filing form 23B for appointment of auditor for a new Company. Is it necessary to file form 23B for first time for appointment of auditor. Or it is being exempted first time to appoint auditor?

I KNOW HOW TO FILE FILE. BUT I WANT TO KNOW THAT WHETHER FOR 1ST YEAR INCORPORATION WERE AGM IS NOT BEEN HELD IT IS REQUIRED TO FILE FORM 23B.

For 23B is not required to be filed in case of appointment of First Auditor of the company.

Yes., It is required to file FORM 23B for the appointment of first time auditor.

Appoint the auditor in board meeting & then file form 23B within 1 month of board meeting., so you have two months time from the date of incorporation to file it.

 

 

 

 

For first appointment of auditor by board under section 224(5) there is no need to file form 23B.

Form 23B is required to be filed under section 224(1) after appointment of auditor in first and subsequent AGMs.

But Ankur Sir., as we have to mention SRN of Form 23B in Form 23AC, what will we mention at that place??

Your problem will be resolved :)

you may enter Z99999999 in place of SRN of 23B. But there is no need to file form 23B for the first auditor.

No need to mention Z99999999.

 

Filing of Form-23AC means you have already adopted your Balance Sheet in AGM. Holding of AGM means appointment of statutory auditor for the ongoing financial year. After AGM simply file form 23B and use the challan of form 23B for filing form 23AC.

 

Ok Ankur sir, but in Form 23B we need to mention the period of accounts, so for example for auditor appt in AGM held on 29.09.2012, period of accounts will be from 01.04.2012 to 31.03.2013, 

but form 23AC filed for year ending 31.03.2012, we need to mention SRN of Form 23B relating to period of accounts 01.04.2012 to 31.03.2013 or the previous one., (i,e from the date of incorp to 31.03.2012)??

 

Do guide me in this regard.

Hmmm…your observation is absolutely right Gnanika. In case of First Form 23AC of a newly incorporated company, we have to mention Z99999999 in form 23AC.

 

However for subsequent AGM such problem will not arise.

Though it is not mandatory , but for the requirements of Form 23AC, we can file Form 23B for the appointment of first auditor., (i.,e from the date of incorporation till the date of First AGM).

As from august 2012, Form 23B is a paid form, so will not be any problem if we use Z99999999 in form 23AC.??
