I got question, Whether an Additional Director of Listed Company can be appointed as a Whole-time director in AGM?
Because basic rule is that additional director first has to be regularised in AGM.. means to be appointed as a Director.
Whether F-32 need to file? If yes, 2 forms are required to submit or just 1 form 32 is enough??
Please guide..
The the time of regularisation of Additional Director appoint him as WTD and according to the salary of the person pass special and ordinary resolution accordingly. Only form 32 need to be filed.
For stock exchange purposes just intimation of the change is to be send to the SE as you must have already filed form 1.
The appointment of WTD under section 269 of the Companies Act, 1956 can directly be made in the Board Meeting.
