MRHPL is a subsidiary of a Public Co. Mr. D. Kiran Kumar, Director of MRHPL is designated as WTD of the Company w.e.f. 01.11.2012 .Board has approved his change in designation by a Circular Resolution as on 26.11.2012. My main query is in drafting of Resolution in this regard, we said "subject to the approval of shareholders of the company in general meeting", but no General Meeting is planned in near future. If the same will get approved by the shareholders at their next AGM, i.e. AGM for the year 2012-13 in next year, will there be any non-compliance be attracted in this case. Shall we file Form 32 ( Change in designation) and 25C after Board' approval or we will have to file the forms after General Meeting only.
