Applicability of section 314

Hi,

This company XYZ Pvt. Ltd., wants to appoint Mr. A, an additional director, as its WTD. Also, Mr. A is the real brother of Mr B, a whole time director of the company. Whether in this case, Section 314 will apply? 

As per my opinion, Directorship cannot be said to be an OPP, Please share your views. Very Urgent.
