Annual general meeting attending through video conference

As per Secretarial Standard - 2

Answer : Members need to be PERSONALLY present at a Meeting to constitute the Quorum.


3.1Quorum shall be present throughout the Meeting.

Quorum shall be present not only at the time of commencement of the Meeting but also while transacting business.

Unless the Articles provide for a larger number, the Quorum for a General Meeting shall be:

(a)in case of a public company,-

(i)five Members personally present if the number of Members as on the date of Meeting is not more than one thousand;

(ii)fifteen Members personally present if the number of Members as on the date of Meeting is more than one thousand but up to five thousand;

(iii)thirty Members personally present if the number of Members as on the date of the Meeting exceeds five thousand;

(b)in the case of a private company, two Members personally present.

Where the Quorum provided in the Articles is higher than that provided under the Act, the Quorum shall conform to such higher requirement.

Opinion: If you are unable to attend the meeting physically in India then you can apply for proxy.

No, you can not attend this annual general meeting through vedio conference.
Only board meeting can be attend through vedio conference.

	Hello Experts, I have a private limited company in India estabished in 19th Septemeber 2016. We have two directors, one is my father in law and other is me. Our  Annual General meeting is scheduled on 25th Septemeber 2017. As I am outside India for next 4-5 months, Can I attende this meeting through video conferencing? Or I have to be physically present at my office in India.
