As per Company's Act 2013, If a director fails to attend all the board meetings, he has to vacate his office and ineligible to be re-appointed as a director in the same company. But ,
1) what will be the position of an alternate director who was appointed on behalf of the original director who fails to attend the board meeting? will he also vacate his office?
2) Will this provision apply to an original director who resides outside India?

The Section 167(1) (b) applies to both the 'Original Director' and 'Alternate Director'., if they are absent themselves from all the meetings of the Board of Directors held during a period of twelve months with or without seeking leave of absence of the Board, they are liable to vacate the office of directorship.
