In private Company for allotment of shares

- pass Board resolution for allotment

-File Form 2 within 30 of Board resolution for allotment i.e. dt of allotment

- If allotment is for consideration in cash and no written agreement is executed than file Form 3 before filing form 2

- Issue share Certificate within 3 months from date of allotment

- Make entries of allotment in Register of members and Register of Allotment

- If shares alloted to directors than make entry in register of director shareholding
