After incorporation

My client had floated a company in Feburary 2014 and after the incorporation no activity, no operations has been conducted in the company. After incorporation no auditors has been appointed neither any board meetings/general meetings were conducted. Hence no ROC filings were done.

So, What are the procedural requirement to be done with all the government authorities and can a auditor be appointed and all the board meetings/ general meeting be done in back date and filed with roc with late fees?

Or there is any other suitable option availible?
