Hi everybody,

Could you please help me in understanding the following sentence(regarding board meeting) which is red in font ?

" The department has clarified in connection with section 285 that it would not raise any objection if an adjourned Board meeting is held on ‘a public holiday, for the convenience of the directors although it considers that an original meeting should also normally be held only on working day.” [ letter no 8/11 (285) 63-PR dated 2-1-1963).

As we know, If a meeting of the Board could not be held for want of quorum, then, unless the articles otherwise provide, the meeting shall automatically stand adjourned till the same day in the next week, at the same time and place, or if that day is a public holiday, till the next succeeding day which is not a public holiday, at the same time and place.

Sec 285 says that the company should hold 4 meetings in a year.

And the board meeting can be adjourned in 2 ways, section 288 describes that meeting was adjouned in absence of quorum :-

1. Adjourned to next week :- The meeting will automatically adjourned to same day time and place in next week. And in this case adjourned meeting can't be happen on public holiday.

2. Adjourned as per the article :- when the article specifies that adjourned BM should be held on such day, then such day even happens to be on a public holiday. Then even on Public holiday the adjouned meeting can be held.

Dear Shilpa,,

Board meetng gets adjourned bacially for lack of quorum till the next day , time , place and time as decided by the member present. If at the adjourned Board meeting too the quorum is not present people present/ members present shall consitute quorum. Board meeting can be held on any day including sunday except on a public holiday.
