1) Whether Com. need to hold G.M for appointment of additional Dr. as M.D

2) Whether Com. Need to file 2 DIR-12 one for appointment as Additional Dr. and second for appointment as M.D
3) If com. appoint Additional Dr. and file form as his designation M.D whether Com. need to file DIR-12 again at the time of regularisation in AGM

4) Whether Com. can file Single Board Resolution for both altogether appointment as Additional Dr. and M.D

If the Company is appointing additional director as Managing Director then as per the provisions of Section 161 (1), such additional Director can be appointed in Board Meeting. Company has to file form DIR 12 within 30 days of appointment Attachments includes certified copy of Board resolution as Additional Director subject to regularization ate Annual General Meeting of the Company.

Intrest in other entities in which he act as the Director

Appointment letter

Consent to act as Director in Form DIR 2.

Further, such additional director shall hold the office till AGM of the Company and shall be regularized at such AGM in the capacity of Managing Director.

Company has to file the form DIR 12 for change in designation from Additional Director to Manging Director
