in a private company, additional director was appointed in 2011 but has not been regularised yet. what to do now. do i regularise him with back date or current date. and if regularise him from back date then who will sign form dir-12 as all the current directors are appointed in 2012.
U want to appoint the director from the back date because the appointment of the director in the ensuring agm was expired so if he signs any documents, contracts after the agm was questionable in the eyes of law. you may use the digital signature of the persons of the current directors by authorising them in the current date board meeting.
