When will it constitute change in Board of directors..?
1.) When an additional director is appointed by the Board ?

2.) When the additional director is appointed as an ordinary director in the next AGM ?

Change in constitution implies that the consituents have changed.
Therefore even by introducing an additional director the constitution of the board changes.
