Adding new directors

For this you have to check the Articles of Association of your company. If it gives power to the Board of Directors to appoint directors generally, then yes it can be done. But if it says Board may appoint additional directors, then Board of Directors can appoint the person as additional director and needs to be regularized at the ensuing AGM. If the additional director is not regularized at the ensuing AGM then the office of additional director shall stand vacated from the date of AGM.
