Is it mandatory for pvt company to alter its Aoa?

A private company which is a subsidiary of public company continues to be private company in its AOA. They are not required to alter their AOA.

No not mandatory because status only for some rules
proviso to section 2(71) ..it shall be deemed ti be public co. even if continues to ve pvt com as per its articles..so no alteration is required
no need to alter, still it is considered as a public company though it's articles shows as a private company.
