Dear friends,
whether certificate from the stat auditors of the company, certifying that the allotment u/s 81(1A) is in accordance with the provisions of companies act, should be filed with Form 2 or Form 23 or with financial statements circulated to shareholders?
For an unlisted public or private company no such certificate is required to be collected or circulated...
So just relax...simply file list of allottee with form 2.

As mentioned earlier ror an unlisted public or private company no such certificate is required. So no provision available in company law.
However for Listed entities NSE and BSE asked for this certificate through their checklists on further issue...
