FAQ :

The circular provides clarifications regarding an amendment to the SEBI (Alternative Investment Funds) Regulations, 2012, specifically concerning concentration norms for Category III AIFs and the definition of co-investment.

Category III AIFs can now calculate the concentration norm based on the Net Asset Value (NAV) of the fund on the business day immediately preceding the investment date.

The NAV includes the value of all securities, adjusted for mark-to-market gains/losses, as well as cash and cash equivalents. It excludes any funds borrowed by the AIF.

If the market value of an investment exceeds the prescribed limit, the breach must be rectified within 30 days from the date of the breach.

Co-investment is defined as an investment made by a Manager, Sponsor, or investor of Category I or II AIFs in investee companies where those AIFs also invest. Investor co-investments must be made through a Co-investment Portfolio Manager.

A custodian is required if the sum of the AIF's corpus and the value of co-investments managed by the AIF's Manager as a Co-investment Portfolio Manager exceeds five hundred crore rupees.
