Winding up of company not in operation

Is there any scheme by MCA for the easy exit of a company which has stopped operation on 31st March 2011 ? (It was functioning and was having transactions till that date, but not audited for the last four years. Income tax and ROC returns for 4 years are pending). The shareholders want to close down the company.
