What will happen if one director has resigned from a non compliant Pvt Ltd company

What will happen if one director has resigned from a non compliant Pvt Ltd company and there is only one director left. The company is non operative since 10 years and not filed any balance sheet as not doing any business. It was missed to close the company on that time. Now it has lot of compliance issue and penalties. The status of company is Active - non compliance.

Any procedure to appoint new director or strike of company without paying penalties as not doing any business.
