What is board meeting through video confrencing??

BM through vedio conferencing is a new intiative by MCA under the banner of " Green Initiative in Corporate Governance"-

I would like to draw your attention to the MCA general circular- No.28/2011 dt 20th May which would explain very clearly who a valid board meeting can be held through vedio conferencing.

In gist it may be summarised that Board meeting in India in order to be valid had to be physically held which required the presence of directors. However with the above initiative the same is not required and infact even shareholder meeting can be held in the same way.

         But ofcoure certain safegrauds like two way participation, vedio recordings etc etc has to be adhered to.
