As the Company was formed in Aug-2011 you ought to have made following compliances for the year ended on 31-03-2012 and 31-03-2013 i.e. for 2 years

1. Filing of Annual Accounts with ROC in Form 23AC and 23ACA

2. Filing of Annual Return with ROC

3. Filing of Income Tax Return for A.Y 2012-13 and A.y 2013-14

4. Holding of First Annual General Meeting

Due dates for above compliances have expired. Still you can file these returns with late fees and/or penalties. Consult a CS in this regard.

As far as commencement of busniess is concern, there are no formalities as such. As a Private Ltd. Co. you don't have to wait for commencement of busniess certificate.

Do i need to file the Nil Returns as there were no assets and liablities at that time.
