The term of Whloe time director of a listed company is getting over on 02.08.2013, the Compnay does't want to re-appoint him.What formality do we need to do with ROC?

Just file a Form 32 for change in designation from M.D to director and pass a resolution for the same..dats it

And What would be the process if a private limited company want him to continue as director on salary....is Sec 314 applicable
