Respected Auditor of our company is no more, What is the Procedure ans laws regarding the process of appointing new Auditor?

This will be Termed as a Casual Vacancy & it can be Filled up by appointment of the Auditors the Board of Directors & such appointment can be got Ratified in the AGM
