Can a director of a pvt. ltd. company with 80% of the stake transfer 2% of his own stake to another person in return of some investment in the company?

What should be the procedure involved and what documents need to be prepared?

In my view

Mere share transfer vide Share transfer form  ( Form 7B) should do between Transferor & Transferee.

As he is director and the other person making investment in company, the matter needs to be noted in Board

meeting and in minutes.
