for X private limited management has been changed. Now existing director want to transfer their shares to new director. Please tell me what are formalities to be complied in company law/ resolution/ roc formalities?

Fill Share Transfer deed(details of transferor and transferee) in Form 7B and file it with the company alongwith the original share certificates.
When the next annual return in Form 20 B will be filed the changes in director shareholdings has to be done and also name of shareholders will change in the annual return.
