Transfer of shares

Hi Everybody,

Please advice...if a holding company wants to transfer its few  shares in an unlisted, closely-held public company to another existing shareholder in the same company, then what is the procedure for the same and at what value /share it should transfer its shares.
Can shares bought at premium be transferred at nominal value to another shareholder by a holding company. Your views are solicited...kindly advice.

There is no restriction as such for said transfer of share.
