Can private company transfer equity and preference shares ?

Yes. By executing form SH-4
the share transfer in a private limited company can be restricted by AOA . Hence, AOA of company must be reviewed prior to beginning the share transfer procedure.

Generally, private limited Company restricts the transfer of shares by the provisions contained in the articles of association. But pursuant to the provisions of the section 56 of Companies Act 2013, shares can be transferred by executing Form SH4. But if the shares are in demat mode, it can be transferred through RTA without executing form SH 4
