Dear Learned Members,

I was looking for a resolution for the titled Item but i didn't found any appropriate matter regarding the same. So, i tried to draft the matter myself. Kindly review it once, if it seems fine or if it requires any modification.

TO REVIEW THE PROGRESS OF THE BUSINESS

The Board reviewed the business and discussed the general affairs of the Company and found that the business is going satisfactorily.

Mr..................... suggested that the Board shall regularly review the progress of the business and identify how the company can make the most of the market position which it has established and decide where to take the business next.

So, the Board will need to revisit and update the business plan with the new strategy in mind and make sure to introduce the noted developments in the upcoming meetings .

The Chairman informed the Board about the General Business Activites of the company and remarked them as going satisfactory to keep the company in position for growth in subsequent years.

Reviews from the Board were welcomed.

Mr..................... suggested that the Board shall regularly review the progress of the business and identify how the company can make the most out of the market position which it has established and decide where to take the business next.Upon discussion with the other Directors following resolution were discussed and the same was passed :

"RESOLVED THAT as per the recommendation of Mr. .............. The Board should revisit and update the business plan with the new strategy in mind and make sure to introduce the noted developments in the upcoming meetings "

"FURTHER RESOLVED THAT the company secretary is authorised to do all such acts ,deeds and things as may be necessary to give effect to the above resolution."

Thanx for ur reply.

We dnt need to pass the resolution regarding this, it is jst a routine review of business operations. I dnt thnk their is any need for authorisation to CS also over here.

CS AUTHORISE TO CONDUCT THE NEXT BOARD MEETING..TO TAKE STEPS TO CALL THE NEXT MEETING TO DISCUSS THE MATTER.

REST WEN I MAKE MINUTES FOR GBA I JUST GIVE THE FIRST PARAGRAPH.
