No, the appointment of the statutory auditor should done in AGM, if the company fails to appoint a statutory auditor in the AGM then the power of fillingup the vacancy will b with the Central Govenment.
the internal auditor cant act as a statutory auditor (though he is a qualified chartered accountant), as he is a employee of the company, where as the statutory auditor is a independent person.
