Form STK-1 notice regarding removal of the name from ROC is received. Company is not functioning since 2014. No returns are filed since then and bank account is also not there. Now directors wants to wind up the company. Is filling form STK-2 mandatory? or what are the documents to be submitted? In notice they have specified representation along with relevant documents need to be submitted within 30 days.

STK-2 is for voluntary removal of name. Once STK-1 is served STK-2 has no utility. Anyway the company will be dissolved unless cause to contrary is shown, subject to conditions prescribed in Section 248(6).

You can also apply for winding up with NCLT, as Section 248 does not prejudice the power of NCLT to wind-up a company.
