SpicE-MOA

Need a advise.. while incorporating a Pvt ltd company, share of 10,000 @ Rs.10 each, entered erroneously in spicE- MOA as 10,000 shares @ Rs.100 each. i.e. instead of 1 lac authorised and paid-up capital, it was mentioned as 10lac. Form Inc-20A , was filed with original paid up capital proof of Rs.1 lac subscribed. How to rectify this issue . kindly advice.

Summary: You cannot re-submit the original incorporation forms. The standard approach is to pass a board and shareholder resolution to formally correct/alter the capital clause of the MOA to reflect the intended figures. You should file these changes with the ROC (typically via forms like MGT-14 or SH-7) and consult a professional to ensure the ROC master data is updated to remove the inconsistency.
