Specimen signatures in resolutions

Dear members,

We pass different resolutions where we also show specimen signatures of the officials authorised by the Board to act on behalf of the Company (like for operating bank accounts).

Pls tell me , while drafting minutes, do we need to put there specimen signatures in minutes too?? (As specimen signatures is for the Bank records, do we need to put the same in minutes book?)

Yes. We should compulsorily reproduce the specimen signatures in the minutes as it is a part of the resolution passed in the meeting. It does not matter whether the company or the bank needs it.

The minutes is the proof of what transpired in the meeting. It prevents all future consequences or complications.
