Share issue to persons other than directors

hello experts,

I want to confirm one thing can a private ltd company issue equity shares at par to persons other than it's directors?

I have heard that as per Companies Act 2013 it cannot do so.

Yes the shares can be issued to the persons other than directors also. For which the company need to follow section 42 of Companeis Act 2013
