Dear Professional Friends
I have a query on section 301 of the Act.
As per teh said section, the register shall be placed before the next Board Meeting and shall be signed by all the directors present at the meeting.
My query is, if there are no independet directors on the Board, so is it not required to be signed by the promoter directors also??

Hi
In my view, the section only quotes on the directos present at the meeting.
So you can get the contracts signed by the directors who are present at the meeting.
Moreover before contracts being entered there will be consent of directors to proceed or not, so
that should not be an issue in terms of signing from promoters directors.
