As per section 255(1), it is applcable on public company.

In case of private company, appointment of director depends upon it's articles.

Generally, Private company directors considered as Non rotational Director.

In case of private company, appointment of director (i.e Rotatonal or Non-Rotatonal)  depends upon it's articles.

II think your query is that if a dircetor of pvt. ltd. was appointed as Additional Director and as you are regularising him so do you need to hold a general meeting. If it was your query then yes for regularising i.e. appointing him as the director who is liable to retire by rotation, it would be done in AGM. Feel free toa sk for clarification.
