I am unable to understand the signing of financial statement ...

It is written that chairperson or two director and c.e.o. ..

But also written c.f.o. and c.s. ..

My question is that c.f. o and c.s. is apart from chairperson ... Or it is alternative of chairperson ...

Please guide total no. Of person Required for signing ..

Hi Anil,

The financial statement, inclusing consolidated financial statement shall be signed by following persons;-

A. Where Chairman is authorised by the board

1. Chairman

2. CEO (Only required if he is a director in the company)

3. CFO (If he is appointed)

4. CS (if he is appointed)

B.Where chairman is not authorised by the board

1. TWO DIRECTORS (Out of which one shall be MD (If he is appointed) if no MD, then by any of the two directors

2. CEO (Only required if he is a director in the company)

3. CFO (If he is appointed)

4. CS (if he is appointed)

In the case of OPC

1. Only one direector
