Someone please explain section 115

Section 115 of the companies act 2013 provides that where, any provision contained in this Act or in the articles of a company, special notice is required of any resolution, notice of the intention to move such resolution shall be given to the company by such number of members holding not less than 1% of total voting.

  Special resolution means a resolution that needs a clear majority to approve the resolution at the general meeting.

If shareholders want to move any resolution in the agm or EGM than special notice should be provided to company with support of 1% voting right
