Companies Act, 2013 offers certain powers to directors of the company to be exercised for the best interest of the company. In this regards, Board of Directors are given with the power to call the meetings of the members at their own discretion i.e. where the need arises. The General Meetings shall be conducted by following the provisions and secretarial standard prescribed. Hence, the meeting called and conducted at the discretion of the Board is called to be EGM CALLED BY BOARD SUO MOTU, where Suo Motu means “on its own motion.”
