In case interested directors are present in the meeting and their no. is equal to or more than 2/3rd of the total strength of the board of directors then in that case the quorum of the meeting should be the number of remaining directors present at the meeting or two directors whichever is higher.

So in order to convey Board Meeting 3 Directors are required to be present who are not interested in such item.

if only 2 non intersted director present at the meeting then metting shall be adjourned due to lack of quorum or not ?

Quorum of the meeting should be the number of remaining Directors present at the meeting or 2 which ever is higher.

In your case 3 Directors are interested so quorum should be 3 only, if 13 Directors are interested then 2 Directors can convey the board meeting.

Board Meeting will not get adjourned if 2 Directors are not interested. but it's should not be less than 2.
