Roc filing

Dear Professional Colleagues,
 

I have a company case which has not done any filing of ROC after 31.3.2010 and is in default company list.Although Company is not in operation. But now company  want to file all the required returns etc and close itself. So what be procedure to file now and what will be penalties fine etc and How can we minimize penalty and file? Please help me out upon this.

I would be really very helpful if you could reply ASAP
