I want to wind-up a private limited company which does'nt have any business. it does not have any transaction, no bank account, no cash, no assets. How to close it. I want to know the procedure,

you can apply through the striking off of name of the company procedures or fast track exit mode.
You can go to fast track scheme
If no liabilities than there is simple winding up procedure. Go to your ROC office fill up the prescribed form and deposit the fees.
