Resolution number

Hi Madhu Mittal,

It's not written anywhere in law but it is good practice to mention Resolution No. A Resolution number is number of resolution which is passed in board mkeerting. For example, if board meeting passed resolution 3, then its Resolution Number will be 3.

It means in the column of Borard Resolution No. Not aplicable can be written and in date of resolution 17th March 2015 can be written. Thus there is no violation of law.

Please enter that No. of Resolution at which the matter was tranascted or passed at the Board meeting and kept as a record in minutes. It is like serial number of passing resolutions. Provide serial number for that particular resolution transacted at meeting.

Suppose on 01.03.2015, two resolution were passed, so serial no. will be 1 and 2.

Suppose on 17.03.2015 three resolution were passed, so serial no. will be 1,2,3 or 3,4,5 taking all resolution of that financial year on 17.03.2015.

Please clarify,

Please all tell whether it is mandatory or not as per law.

Counting of resolution numbers is done meeting wise and not financial year wise in general practice so start with no. 1 every time for a new meeting as the date of meeting differenciates and removes the understanding difficulty.
