Resolution for listing of shares

Hello,

Happy New Year to all....

Can anyone provide me the draft complete resolution for Authorizing the Company Secretary for Filling Listing Application with Stock Exchange (s).

“RESOLVED THAT Managing Director or Company Secretary of the Company be and is hereby authorised to file Listing Application with National Stock Exchange Limited and to deal with National Securities Depository Limited (NSDL) and Central Depositories Securities Limited (CDSL) for the purpose of Capital updation.”

Alternatively you may do one thing --- you may authorise the CS in the allotment resolution by using RESOLVED FURTHER THAT clause.

Dear Seema,

As such under clause 24(a) of the Listing Agreement the Company must have inprincipal approval for listing of shares from the stock exchange before the allotment of shares. Therefore, the Company has to make an application to the Exchange for the listing of any new issue of shares or securities and of the provisional documents relating thereto before the allotment thereof.

Accordingly, before allotment of such equity shares you need to authorise the concerned person for sending application to the concerned stock exchange.

The draft resolution shall be as under:

"RESOLVED THAT Shri....., Company Secretary of the company be and is hereby authorised to sign, seal, execute and deliver listing application / application for listing in relation to ............. equity shares to be issued by the Company and to send all such information, document, and papers as may be necessary, expedient and desirable for the same."
