According to my perception, no resolution is required to be passed for the same.
BUT COMPANY IS PAYING REMUNERTION TO THAT DIRECTOR FROM LAST 2 YEAR, AND NOW COMPANY'S BOARD SUGGEST ABOUT THE NON PAYMENT OF REMUNERATION TO PERTICULAR DIRECTOR.
"RESOLVED THAT payment of remuneration to Mr A, Whole Time Director, be discontinued from _____ (date)."
"RESOLVED FURTHER THAT designation of Mr A be changed from Whole Time Director to 'Director' w.e.f. ______ (date) and Form 32 be filed with Registrar of Companies for change of designation."
