Resolution for appointment of director

"RESOLVED THAT ________________-- be and is hereby appointed as an Additional Director of the Company pursuant to section 260 of the Companies Act, 1956, whose term of appointment shall not be liable to retire by rotation."

"FURTHER RESOLVED THAT ____________________ Director of the company be and is hereby authorized to take actions for filing necessary forms with ROC."

Can I have a resolution for appointment of a Director in a Board meeting (Not an Additional Director)?

Board can appoint only additional or alternate director not a regulr director it can recommend to General meeting for appointment of a regular director:-

“RESOLVED THAT subject to the approval of Shareholders ----------------------, who was earlier appointed as an Additional Director of the Company w.e.f. ---------------------- under section 260 of the Companies Act, 1956 and holds office till the conclusion of the ensuing Annual General Meeting and who, being eligible, has offered himself to be appointed as a Director in the Company, be and is hereby appointed as a Director of the Company.

RESOLVED FURTHER THAT the office of Mr. ------------------- shall be liable to determination by retirement of directors by rotation."
