Our Company is loss making Company and our managing director has decided to work on zero remuneration due to cash loss being incurred by the comapny. However, the actual expenses incurred by him shall be reimbursed to him.... can anyone provide me board resolution in dis regard?????????

"Resolved that Mr. XYZ, the Managing Director shall hereby not withdraw any remuneration from the company as the company has incurred cash losses during the previous year."
"Resolved further that Mr. XYZ shall be reimbursed all the expenses by the company, incurred by him (Mr. XYZ) which are incurred towards the business of the company."
