I am a director in Ltd company with minimum share and i going to resigne from Director ship, what will happen to my sahre or can i transfer the share to my husband and appoint as a director in the company .. can we do this.. pls help

Yes, you may transfer the shares in favour of your husband through form SH-4 duly stamped & signed. U/s 161(1) if the articles confer the powers so, he can be appointed as additional director and thereafter in AGM, he can be regularised as Director.
Yes Rashmi you can do as Murty ji said.....or even after resignation, you can hold the shares if you so desire......
