Resignation of a Director

Nothing in this regard is given in the cos act It is fully governed by the provisions given in this regard in AOA. Before telling the procedure  tell me

1. Any provision in this regard is contained in ur AoA

2. Director who resign whether a wholetime director/MD of the Co.

No need to wait for acceptance by board in case of resignation by an ordinary diector unless the AOA otherwise provide.however in case of MD/WTD, resignation must be accepted by board.

No it he is an Ordinary Director and Nothing is mentioned on the AOA on the Resignation of the Director.

then resignation can take place from immediate effect

In the AOA he is listed in the First Directors But he is not the Managing Director or WTD.

In ur case u have not need to accept the same it will take effect immediately.
