Remuneration to director

In case of Private Limited Company it is ok to pass the Board Resolution. But in case of Public Limited Company approval from member is required. 

Ya but first BM monthly remuneration in BM then limit fixation in GM...is that ok

Can a CFO and a Proposed Director eligible for Sitting Fees of a board meeting?

No You can not provide sitting fees to the CFO and proposed director. tell them to raise invoice under professional services.

Sitting fees is given to the Directors  not the CFO .They are already getting remuneration for it. Moreover, giving salary to a proposed director is also not a good practice under corporate law
