In a PVT Ltd Co. there are two directors out of which one is a additional director???
Is this any default on the part of a Company Secretary and to what extent he is liable for it???

Whats wrong in one being additional director in a company having 2 directors? Why should CS be penalised?
It is fine i guess,.
Since it's a private company there was no need to appoint the director as additional director, he could have been appointed as a regular director by the Board. Anyway no problem in having an additional director in the Board. No default on the part of the company or CS so long as the strength of the Board is not reduced below 2.
